About Gregory

Greg is a corporate attorney with a practice focusing on private, middle-market mergers and acquisitions and general corporate and commercial law. He has extensive experience with buyers and sellers in both financial and strategic acquisition transactions in the manufacturing, industrial, distribution, transportation & logistics, services, hospitality and technology sectors. He also serves as advisor and general counsel to entrepreneurs, investors, and closely held businesses with respect to formation, governance, strategic planning, finance, and general commercial and corporate matters.

In addition to his corporate and M&A work, Greg also advises on issues pertaining to corporate workouts, bankruptcy, and restructuring, having represented creditors, debtors, and third parties impacted by financial distress, operational disruption, and insolvency.

Prior to joining SouthBank Legal, Greg clerked for the Honorable Lee M. Jackwig in the U.S. Bankruptcy Court for the Southern District of Iowa. After his time with the U.S. Bankruptcy Court, he joined an Am Law 200 firm in Michigan, where he practiced in the bankruptcy & restructuring and corporate practice groups of the firm.

  • Negotiation of the sale of the equity of a financial and insurance technology platform to a private equity firm.
  • Negotiation and documentation of a sale of a manufacturer of modular softwall and rigidwall cleanrooms to a private equity platform.
  • Representation of a tribal economic development fund in the acquisition of a majority interest in a defense software development, integration, and solutions firm.
  • Service as outside general counsel to a Grand Rapids, Michigan-based venture studio with respect to corporate and succession planning matters, equity issuance and redemptions, joint ventures and general commercial law.
  • Representation of a tribal economic development fund in the acquisition of a majority interest in a Midwest environmental engineering firm.
  • Negotiation and documentation of the sale of equity in a data center and network solutions business to a global infrastructure investment manager.
  • Negotiation of the sale of a commercial framing and extrusion sign manufacturer to a West Michigan investor.
  • Representation of a virtual and in-person IT & technology training platform in a sale to a private equity platform.
  • Negotiation and documentation of a sale of all of the assets of a custom machine builder of automation systems for OEM, Tier 1 and Tier 2 suppliers in the automotive, furniture and appliance markets.
  • Negotiation and documentation of forbearance and other workout transactions on behalf of regional and national banks and other financial institutions.
  • Representation of a tribal investment sponsor in the acquisition of an LTL and specialty commodity trucking company.
  • Representation of a tribal economic development fund in an add-on acquisition of a computer numerical control (CNC) manufacturer.
